Terms and Conditions

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Medblocks LLC (“we,” “us” or “our”), concerning your access to and use of the medblocks.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”).

You agree that by accessing the Site, you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms and Conditions, then you are expressly prohibited from using the Site and you must discontinue use immediately.

Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason.

We will alert you about any changes by updating the “Last updated” date of these Terms and Conditions, and you waive any right to receive specific notice of each such change.

It is your responsibility to periodically review these Terms and Conditions to stay informed of updates. Continued use of the Site after such revisions are posted means you accept and agree to the changes.

Notwithstanding the foregoing, where a change affects how we handle your health data or Medicare data, we will notify you, describe what has changed, and provide you the opportunity to opt out or disconnect before the change takes effect, as described in our Privacy Policy. We will not rely on your continued use alone as your acceptance of a material change to how your health data or Medicare data is used.

The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to law or regulation.

Accordingly, those who access the Site from other locations do so on their own initiative and are solely responsible for compliance with local laws.

The Site is intended for users who are at least 18 years old. Persons under 18 are not permitted to register for the Site.

PRIVACY POLICY

Your use of the Site, and of any Medblocks application or service through which you connect a Medicare account (the “Application”), is also governed by our Privacy Policy, available at https://medblocks.com/privacy-policy, which is incorporated into these Terms and Conditions by reference. Our collection, use, storage, sharing, retention, and protection of your personal information — including any health data and any Medicare data you connect through the CMS Blue Button API — are described in, and governed by, the Privacy Policy. In the event of a conflict between these Terms and Conditions and the Privacy Policy with respect to the handling of such data, the Privacy Policy controls.

INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Site is our proprietary property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (the “Content”) and the trademarks, service marks, and logos (the “Marks”) are owned or licensed by us, protected by copyright, trademark, and other intellectual property laws.

The Content and the Marks are provided “AS IS” for your information and personal use only. Except as expressly permitted, no part of the Site, Content, or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our prior written permission.

If eligible to use the Site, you are granted a limited license to access and use the Site for your personal, non-commercial use. We reserve all rights not expressly granted.

RECORDING AND USE OF CONTENT

By participating in Bootcamp classes and live events, participants acknowledge and agree that sessions may be recorded in audio, video, or photographic form. Participants grant Medblocks LLC the irrevocable right to use such recordings, including likeness, voice, and name, for promotional or educational materials without compensation or prior notice.

USER REGISTRATION

You may need to register with the Site. You agree to keep your password confidential and accept responsibility for all account activity. We reserve the right to remove, reclaim, or change your username if deemed inappropriate.

MEDICARE DATA AND THE CMS BLUE BUTTON API

If you connect a Medicare account to the Application through the CMS Blue Button API, you do so by exercising your individual right to access your own Medicare information and directing it to us. You authorize us to retrieve your Medicare data and to make it available, at your direction, to the organization providing services to you (for example, a law firm representing you), as described in our Privacy Policy. You may disconnect your Medicare account or request deletion of your Medicare data at any time as described in the Privacy Policy.

You agree that you will not attempt to access Medicare data that is not your own or that you are not authorized to access, and that you will not use Medicare data obtained through the Application for any unlawful purpose. We never request, and you must never provide to us, your Medicare.gov login credentials.

Your access to and use of Medicare data obtained through the CMS Blue Button API is also subject to the CMS Blue Button API Terms of Service and to applicable federal law, including the Privacy Act of 1974 and, where applicable, the Health Insurance Portability and Accountability Act (HIPAA).

Non-Endorsement. This product uses the Blue Button APIs but is not endorsed or certified by the Centers for Medicare & Medicaid Services or the U.S. Department of Health and Human Services.

PROHIBITED ACTIVITIES

You agree not to:

1. Retrieve data systematically to create a database.
2. Use the Site for unauthorized purposes, including spamming.
3. Use buying or purchasing agents.
4. Advertise or sell products/services.
5. Interfere with Site security features.
6. Frame or link to the Site without authorization.
7. Trick, defraud, or mislead users.
8. Misuse support services or submit false reports.
9. Use automated systems (robots, scripts, scrapers).
10. Disrupt the Site or networks.
11. Impersonate another user.
12. Sell or transfer your profile.
13. Harass or harm others using Site information.
14. Compete with us or use Site content commercially.
15. Reverse engineer Site software.
16. Bypass access restrictions.
17. Harass our staff or agents.
18. Remove copyright notices.
19. Copy or adapt Site software.
20. Upload viruses, spam, or disruptive content.
21. Use passive data collection mechanisms (spyware, cookies, etc.).
22. Use automated systems to access the Site.
23. Harm our reputation.
24. Use the Site illegally.

SUBMISSIONS

Any submissions (feedback, ideas, suggestions) you provide become our sole property. We may use them without acknowledgment or compensation.

This section does not apply to, and we claim no ownership of, your personal information, health data, or Medicare data. Such data is not a “Submission,” remains yours, and is collected, used, and shared solely as described in our Privacy Policy.

SITE MANAGEMENT

We reserve the right to:

1. Monitor the Site for violations.
2. Take legal action against violators.
3. Restrict or disable any content or access.
4. Remove excessive or burdensome files.
5. Manage the Site to protect our rights and ensure functionality.

MODIFICATIONS AND INTERRUPTIONS

We reserve the right to modify or discontinue the Site at any time without notice. We are not liable for any downtime, interruptions, or unavailability.

GOVERNING LAW

These Terms and Conditions are governed by the laws of the State of Karnataka, India.

DISPUTE RESOLUTION

Legal actions shall be brought exclusively in the courts located in Bengaluru, Karnataka, India.

CORRECTIONS

We reserve the right to correct any errors or inaccuracies on the Site without prior notice.

DISCLAIMER

The Site is provided “AS IS”. We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement. We are not liable for any:

1. Errors or inaccuracies of content.
2. Personal injury or property damage.
3. Unauthorized access or use of servers.
4. Transmission interruptions.
5. Bugs or viruses.
6. Loss or damage resulting from Site use.

LIMITATIONS OF LIABILITY

We are not liable for any direct, indirect, incidental, consequential, or punitive damages, including lost profits or data.

Nothing in the “DISCLAIMER,” “LIMITATIONS OF LIABILITY,” or “USER DATA” sections limits, excludes, or modifies our obligations regarding personal, health, or Medicare data set out in our Privacy Policy or required of us under applicable law, including the Federal Trade Commission Act and the FTC Health Breach Notification Rule. Nothing in these Terms and Conditions excludes or limits any liability that cannot be excluded or limited under applicable law.

INDEMNIFICATION

You agree to indemnify and hold us harmless from any claims, damages, or expenses resulting from your Site use or breach of these Terms.

USER DATA

While we back up data, you are responsible for your data. We are not liable for any loss or corruption of data.

We do not claim ownership of your health data or Medicare data. This data is stored, retained, and deleted as described in our Privacy Policy.

MISCELLANEOUS

These Terms constitute the entire agreement between you and us. Failure to enforce any provision is not a waiver. We may assign rights and obligations. If any provision is unenforceable, the rest remain in effect.

No partnership or agency relationship is created between you and us. Electronic format and lack of signatures do not affect enforceability.
